Terms Conditions
This Agreement pertains to the Services offered by ________________ to individuals accessing, utilizing, or obtaining the Services, referred to as “you” or “your.”
- ABOUT THIS AGREEMENT
1.1. This agreement consists of the following components:
- the online agent portal’s electronic Application Form for the Services (Application Form);
- these terms and conditions (subject to periodic amendments by Jay Chaudhary);
- the general Terms and Conditions of Use for the Website, accessible at _________________ (subject to periodic amendments by Jay Chaudhary); and
- any additional document provided by Jay Chaudhary, expressly designated to be a part of this Agreement.
1.2. In the event of an inconsistency in a provision among the components of this Agreement, the provision in the part listed higher in clause 1.1 prevails concerning the inconsistency, unless otherwise specified in this Agreement.
- SERVICES
2.1. Functionality and Platform:
Discover available properties for sale or lease through our website at _________________. Please be aware that the Services and Website functionalities may differ based on the device or application used, such as desktop versus mobile. Keep in mind that the features and options within the Services or on the Website may vary depending on your chosen platform.
2.2. Application Process:
You can submit an Application Form to avail yourself of a Service. Each Application Form accepted by Jay Chaudhary establishes a separate Agreement between Jay Chaudhary and you. The acceptance or rejection of any Application Form is at the sole discretion of Jay Chaudhary.
2.3. Listing Transfer:
You acknowledge that your provider of real estate listings software has the authority to take all necessary steps to transfer your listings to Jay Chaudhary and subsequently upload them onto the Website.
2.4. Modification or Exit of Service:
In the event that Jay Chaudhary determines, or is compelled, to modify or terminate a Service (or any portion thereof), you will be provided with reasonable advance notice. Under such circumstances, Jay Chaudhary may: (a) transition you to the altered service or an alternative service; or (b) terminate the Service. If the proposed service transition significantly adversely affects you, termination becomes an option, but no refunds or reimbursements of any fees and charges paid for or associated with that service will be issued.
2.5. Exclusions from Service:
The Service does not cover: (a) backup services; (b) customization; (c) training; (d) on-site visits; or (e) rectification of errors or defects, including those stemming from: (i) faulty equipment or hardware provided by you; or (ii) your negligent acts or omissions and any events beyond Jay Chaudhary’s reasonable control.
- COMMITMENT FROM JAY CHAUDHARY TO YOU
3.1. Jay Chaudhary commits to: (a) deliver the Services with due care and skill, although without guaranteeing continuous or fault-free performance; and (b) employ appropriately qualified personnel for Service provision.
3.2. Jay Chaudhary does not warrant, represent, or guarantee that:
(a) You or users of the Website will consistently have access to the Website;
(b) No guarantee is provided that the Services will be without errors, complete, or free from viruses or defects. It is recognized and mutually agreed upon that the existence of defects or errors in a Service does not constitute a violation of any agreement between you and Jay Chaudhary
(c) Any information provided or accessed through a Service is accurate, complete, or adequate for your intended use.
3.3. Jay Chaudhary will not be held liable in the event of Website unavailability for any reason, including, but not limited to, computer downtime due to malfunctions, upgrades, preventive or remedial maintenance activities, or interruptions in telecommunication supplies.
- YOUR RESPONSIBILITIES TO JAY CHAUDHARY
4.1. You are accountable for:
(a) acquiring any necessary telecommunication services and infrastructure, including Internet access, for accessing and using the Services;
(b) ensuring the secure transmission and delivery of any communications, including emails, over the Internet. Jay Chaudhary may utilize industry-standard encryption technology for communication encryption to the Website, but you acknowledge that Jay Chaudhary is not responsible for the security of such communication.
4.2. While using the Service, you must:
(a) ensure that the Submitted Materials meet Jay Chaudhary’s specified format requirements, contain accurate property information, and do not include any information prohibited for publication on Jay Chaudhary;
(b) submit materials to Jay Chaudhary using an approved method, such as through an authorized XML provider;
(c) adhere to all policies outlined by Jay Chaudhary, including those on the Website;
(d) provide reasonable assistance to Jay Chaudhary to facilitate the provision of the Service;
(e) notify Jay Chaudhary in writing of any changes to information required for Service provision;
(f) provide and update hardware and software necessary for Service use;
(g) train your personnel on Service usage and ensure compliance with this Agreement;
(h) cover any telecommunication charges incurred;
(i) assess the accuracy, reliability, and completeness of information obtained through the Service.
4.3. You must not:
(a) use the Service for purposes other than those defined in this Agreement;
(b) engage in activities that disrupt the lawful use of the Service by others;
(c) share materials or information provided by Jay Chaudhary with others without prior written consent;
(d) distribute, rent, lease, sell, sublicense, assign, transfer, or otherwise deal with the Service;
(e) insert tracking devices in advertisements for retargeting Jay Chaudhary users on third-party sites without express written permission;
(f) share advertising statistics resulting from Jay Chaudhary with third parties for behavioral targeting without Jay Chaudhary’s written permission;
(g) use any device or routine that interferes with the Service’s operation;
(h) create databases substantially comprised of information published by Jay Chaudhary; or
(i) intentionally withdraw and relist listings to influence search results on the Website.
4.4. You warrant to Jay Chaudhary that:
(a) you possess and will maintain all necessary licenses, permits, approvals, and consents for your real estate, property development, or building operations;
(b) all Submitted Material is accurate, complies with relevant laws, does not infringe on any rights, is not illegal or offensive, and adheres to guidelines for age-appropriate content;
(c) you will comply with all applicable laws, including those related to the use of personal information.
4.5. You are responsible for ensuring Jay Chaudhary has your correct contact details for Service provision, and you agree to the use of personal information according to Jay Chaudhary’s Privacy Policy.
- SPECIFIC TERMS RELATING TO LISTINGS
5.1. When utilizing the Service, you are required to:
(a) List only real properties available for sale or lease;
(b) List properties currently available for sale or lease, having obtained proper authorization to market them;
(c) Exclude any promotional web addresses or materials not directly related to the listing and services for leasing or selling the specific property;
(d) Avoid including information related to a business or service that competes directly or indirectly with Jay Chaudhary and its affiliated entities;
(e) Ensure that any Submitted Material accurately represents the property without borders, watermarks (unless permitted as an exception by Jay Chaudhary), or unauthorized agent details;
(f) Accurately specify the location of the listed property;
(g) Promptly remove properties that are no longer available for sale or lease, such as those that have been sold, leased, or withdrawn from the market;
(h) List each property for sale or lease only once on the Service;
(i) Provide Jay Chaudhary with the minimum required fields for publication for each property, as outlined in clause 6 of this Agreement and/or the Website;
(j) List sale and rental properties only if appointed by a vendor or lessor to sell or rent the respective property; and
(k) List only one listing per property lot address.
5.2. Jay Chaudhary, to the maximum extent allowed by law, shall not be held liable for any errors, misplacements, amendments, omissions, or failures to publish any listing.
- ESSENTIAL LISTING DETAILS
6.1. The essential information that must be supplied to Jay Chaudhary for each listing to be featured on the Website includes:
(a) street address;
(b) property type (e.g., house, apartment);
(c) title;
(d) description;
(e) number of bedrooms (excluding vacant land);
(f) number of bathrooms (excluding vacant land);
(g) number of car spaces (excluding vacant land);
(h) images (minimum of 1);
(i) display price (numeric value or text, e.g., POA); and
(j) status (e.g., current, sold, leased, withdrawn).
6.2. If you fail to provide or authorize Jay Chaudhary to publish all the aforementioned details for a listing, it may not be published on the Website.
6.3. Jay Chaudhary retains the right to modify the minimum required information for each listing on the Website by updating this Agreement or adjusting the field requirements on the Website.
- PROPERTY LISTING GUIDELINES
7.1. Jay Chaudhary may, at times, establish criteria governing the presentation of property listings in search results on the Websites.
7.2. As of the effective date of this Agreement, the factors considered by Jay Chaudhary in determining search results include:
(a) provided values, property type, property attributions, and relevant third-party data and sources; and
(b) for determining search results related to price or price refinement, the search values provided within the XML feed or the Jay Chaudhary agent dashboard, distinct from the advertised price.
7.3. Jay Chaudhary retains the right to periodically update these guidelines by either revising this Agreement or providing the updated guidelines on the Website.
- SPECIFIC TERMS CONCERNING LEADS
8.1. You recognize and agree that:
(a) Jay Chaudhary cannot guarantee the volume of leads, which refers to inquiries for additional information submitted by users of the website.
(b) Jay Chaudhary does not have control over the authenticity, accuracy, or any other aspect of such leads.
8.2. You are required to:
(a) furnish a valid email address for each listing to which leads should be forwarded by Jay Chaudhary (or any third party with whom you have an agreement);
(b) ensure that all leads are managed by a properly trained individual in a professional and prompt manner; and
(c) refrain from selling, assigning, or otherwise disseminating any lead (or information derived from a lead), whether electronically or otherwise, to any person.
8.3. You acknowledge that:
(a) Jay Chaudhary will make every effort to deliver all leads to the designated email address, or if unavailable, an alternative email address;
(b) Jay Chaudhary shall not be held accountable for any delays or failures in lead delivery arising from technical or technological faults, nor for delays attributable to third parties, such as third-party websites displaying listings; and
(c) Jay Chaudhary, to ensure precision in lead tracking, retains exclusive control over the contact details you provide. You are prohibited from attempting to include unauthorized contact details in any listing.
- SUBMISSION OF MATERIALS AND CONTENT MONITORING
9.1. Upon submission of materials, you grant (or confirm that the material owner explicitly grants) Jay Chaudhary an international, non-exclusive, enduring, royalty-free, irreversible, transferable, and sublicensable license. This license allows Jay Chaudhary to utilize, reproduce, adapt, modify, communicate, display, perform, store, and distribute the materials for the following purposes:
(a) fulfilling obligations under this Agreement;
(b) The dissemination of materials and information, including those incorporated in a listing on the Website (which encompasses any websites under the ownership or operation of Jay Chaudhary or on any third-party website where Jay Chaudhary has a collaborative agreement to furnish, exchange, or circulate listings, information, or materials). This extends to associated services such as search engines, as well as any other media, whether online or print-based.
(c) Generating statistics, databases, and compilations for the benefit of Jay Chaudhary and third parties, ensuring that Jay Chaudhary does not disclose your information in any way that identifies it as yours; and
(d) Jay Chaudhary may sublicense your subscription information to a third party under a license agreement. This agreement restricts the use of your subscription information solely for the purpose of a real estate-related application service. The scope of this license encompasses any existing or future forms, media, or technologies.
9.2. Without restricting the aforementioned, you consent to the utilization of submitted materials by Jay Chaudhary for various purposes, including marketing, research, and the advancement of goods and services.
9.3 You affirm:
(a) Jay Chaudhary’s use of any Submitted Material contributed by you will not violate the intellectual property rights (including the moral rights) of any third party or breach any obligations of confidence or any other law or regulation relating to the Submitted Materials; and
(b) Concerning moral rights, you have obtained all necessary consents allowing Jay Chaudhary to take any actions or abstain from actions that, without such consent, would be considered a violation of the author’s moral rights under the Copyright Act 1968 (Cth).
9.4. Jay Chaudhary retains the authority to modify, revise, restrict, or promptly delete submitted content without prior notice if a violation of any warranty or condition outlined above is identified.
9.5. Irrespective of any conflicting provision, Jay Chaudhary holds the discretion, without assuming liability, to:
(a) Release and/or share with the public any content (including submitted materials), particularly in instances where there has been a violation of this agreement;
(b) Determine the schedule for making submitted materials public;
(c) Maintain exclusive editorial authority (including the placement of watermarks) over all submitted materials (including listings) to be showcased on the Website or in connection with the provided services; and
(d) Remove, delete, or otherwise discontinue the public release and sharing of any materials (including submitted materials).
9.6. Notwithstanding clause 9.5, Jay Chaudhary is under no obligation to monitor submitted material for compliance with any law, guideline, or requirements or its suitability for publication.
9.7. You relinquish any moral rights associated with the submitted material and consent to any action or abstention by Jay Chaudhary or its representatives that would otherwise be considered a violation of your moral rights.
9.8. You acknowledge and agree that Jay Chaudhary:
(a) Jay Chaudhary bears no responsibility for any elements of your website or any third-party website, including the timeliness, precision, or any other side of the information or data present on those sites.
(b) Jay Chaudhary does not provide a guarantee or warranty that: (i) the Website will be consistently available or available at all; (ii) your listing as part of the service will receive any impressions, click-throughs, or similar metrics; or (iii) there will be specific traffic levels (including hits and exposures) to the Website.
9.9. While Jay Chaudhary will use its best endeavors to store your information in its database, it provides no warranty as to such storage and will not, subject to clause 11, be held in the event of corruption, deletion, or failure to store any information related to you, including any listing or any inability to access such information. Therefore, Jay Chaudhary strongly recommends that you keep a permanent record of all information and data related to you.
- CONFIDENTIALITY AND PRIVACY
10.1. Both parties recognize and consent that Jay Chaudhary’s Confidential Information encompasses: (a) the terms of this Agreement; and (b) all details shared by Jay Chaudhary with you under this Agreement, encompassing technical, operational, and commercial information related to the provision of Services.
10.2. Neither party shall unveil the Confidential Information of the other party to any individual, except:
(a) to its professional advisors and personnel on a “need to know” basis, provided that these individuals have committed to maintaining the confidentiality of the Confidential Information in line with the terms of this Agreement;
(b) with the prior written approval of the other party, to the extent specified in such consent;
(c) if mandated by law, regulatory authority, or stock exchange, but only to the extent essential to comply with the law or regulations of the regulatory authority or stock exchange; or
(d) unless there is a breach of this Agreement by the recipient (with the “recipient” being the party receiving the Confidential Information from the disclosing party), the information is considered public domain.
10.3. You admit and agree that:
(a) you must ensure that you and any other person (including your users) do not access or use the Services in contravention of any laws;
(b) you are solely responsible for obtaining all required consents regarding the collection, use, access, disclosure, and storage of personal information (including sensitive information) concerning your use of the Services; and
(c) Jay Chaudhary requires your commitment to ensuring that any individual whose details are shared with Jay Chaudhary in the course of using the Services or under this Agreement acknowledges that Jay Chaudhary manages personal information (as defined in the Privacy Act 1988 (Cth)) in accordance with Jay Chaudhary’s Privacy Policy, which may be revised by Jay Chaudhary periodically.
10.4. By entering into this agreement, you recognize that all confidential information related to Jay Chaudhary includes account details, such as user identification and password information. You undertake to: (a) promptly update any compromised account information for security purposes, and (b) accept responsibility for all transactions carried out under your account, including the use of your user identification or passwords.
10.5. You acknowledge and consent to our collection and use of personal information, as outlined in Jay Chaudhary’s privacy policy, available at ___________________ (subject to changes by Jay Chaudhary as deemed necessary).
- LIABILITY OF JAY CHAUDHARY TO YOU
11.1. Jay Chaudhary, to the fullest extent allowed by law and unless expressly specified otherwise in this Agreement, hereby renounces all warranties, liabilities, rights, remedies, conditions, and guarantees associated with this Agreement and the Services. These may arise in contract, tort (including negligence), statute, or any other legal foundation.
11.2. Subsequent to clause 11.3:
(a) To the extent that any liability cannot be entirely excluded but may be restricted, Jay Chaudhary’s only liability is limited, at its discretion: (i) to provide the relevant services again; or (ii) to pay the cost of having the relevant services supplied again; and
(b) Subject to paragraph (a) above, and only when Jay Chaudhary’s liability is not otherwise excluded or limited in this Agreement, if a claim or cause of action arises from or in connection with this Agreement (whether arising in contract, tort, indemnity, or breach of statute), Jay Chaudhary’s liability for all claims or causes of action collectively is limited to the sum of Fees paid or payable for the Services related to the claim or cause of action.
11.3. Under no circumstances will Jay Chaudhary be liable to you or any other party for loss of use, production, profit, revenue, business, data, contract, or anticipated savings, or for delay or any financing costs or increase in operating costs or any indirect or consequential loss or damage.
11.5. The parties mutually agree that any claim or cause of action arising from or in connection with this Agreement (except for a failure to pay any Fees) must be initiated within 3 months from the date the claim or cause of action arose or should reasonably have been discovered.
11.6. For the purposes of this clause, the term Jay Chaudhary or party shall refer to Jay Chaudhary or a party to this Agreement, including its officers, employees, contractors, and agents, whether considered individually or collectively.
11.7. Regardless of any other provision in this Agreement, Jay Chaudhary’s liability under or in connection with this Agreement will be diminished to the extent that the loss or damage is caused by you or any affiliated person (including your related bodies corporate, representatives, and personnel).
11.8. You agree to indemnify Jay Chaudhary, its officers, agents, and contractors against all actions, claims, and demands (including the cost of defending or settling any actions, claims, and demands) arising from any intentional, unlawful, or negligent act or omission by you.
11.9. This clause 11 remains in effect after the expiration and termination (for any reason) of this Agreement.
- SERVICE SUSPENSION
12.1. Jay Chaudhary reserves the right to limit, suspend, or terminate the provision of any service under the following circumstances:
(a) Without prior notice to you:
(i) In case of an emergency;
(ii) If the supply or use of a service becomes or is likely to become unlawful;
(iii) If, in Jay Chaudhary’s reasonable judgment, the provision of a service is likely to result in death, personal injury, or property damage.
(b) With notice to you:
(i) If you fail to make timely payments for the service;
(ii) If your use of a service interferes or may interfere with the functionality of the website, and you do not take corrective action;
(iii) If an administrator, receiver, liquidator, or provisional liquidator is appointed to you, or if you enter into any settlement, moratorium, or similar arrangement for the benefit of your creditors, or if you are otherwise unable to meet your financial obligations.
12.2. In the event of a service suspension or termination as per clause 12.1, Jay Chaudhary may request additional charges for the resumption of services.
- TERMINATION OF AGREEMENT
13.1. Jay Chaudhary reserves the right to promptly terminate this Agreement with notice to you under the following circumstances:
(a) Failure to meet payment obligations, including Fees, by the specified due date.
(b) Unremediable breaches of any non-negotiable provisions in this Agreement.
(c) Breaches of remediable provisions, with failure to remedy within 14 days of notice.
(d) Attempted assignment or purported assignment of this Agreement.
(e) Insolvency on your part.
13.2. Jay Chaudhary may terminate this Agreement without any liability with immediate notice if:
(a) Any international listing syndication agreement with a third party terminates or expires.
(b) Jay Chaudhary discontinues the relevant Service for any reason.
13.3. You have the option to cancel a Service or terminate this Agreement with 10 days’ written notice to Jay Chaudhary, as provided on the Website. However, no refund or reimbursement of Fees is applicable.
13.4. Upon termination of this Agreement:
(a) Outstanding fees must be settled promptly.
(b) All Jay Chaudhary intellectual property in your possession must be either returned or destroyed, at Jay Chaudhary’s discretion, including application files.
(c) Both parties are bound to fulfill ongoing obligations outlined herein, which persist beyond the expiration or termination of this Agreement.
13.5. Termination of this Agreement will not affect any accrued rights or liabilities of either party.
- INTELLECTUAL PROPERTY RIGHTS
Ownership and Grant of Rights:
14.1. This Agreement does not transfer ownership or confer rights to any intellectual property belonging to Jay Chaudhary, except for those explicitly granted under this Agreement.
14.2. All intellectual property rights associated with a Service and any information created, organized, stored, or otherwise developed by Jay Chaudhary, including listings, are the exclusive property of Jay Chaudhary.
- AMENDMENTS TO AGREEMENT
Amendment Authority:
15.1. Jay Chaudhary retains the right to amend this Agreement periodically, with or without prior notice. However, reasonable efforts will be made to notify you of any such amendments through the Website.
15.2. Continued use of the Service on or after the effective date of any amendments implies your acceptance of said changes. Should you disagree with the amendments, and if they substantially affect you, you have the option to terminate this Agreement by providing notice to Jay Chaudhary, without incurring any early termination fees.
- PRICING
16.1. All charges are inclusive of applicable GST, unless explicitly stated otherwise.
16.2. Payment of charges is to be made on a monthly basis, in advance, starting upon your registration as a user on the online agent portal.
16.3. Jay Chaudhary reserves the right to modify the charges for any services provided (including the imposition of charges on services that were previously free) by giving you written notice at least 30 days in advance.
16.4. Failure to make timely payment may result in the following actions by Jay Chaudhary:
(a) Restriction or cessation of your access to and use of the services.
(b) Imposition of interest at a rate of 10% per annum, calculated on the daily outstanding amount.
(c) Engagement of a third-party collection agency to recover outstanding fees, with all associated expenses (including legal fees) chargeable to you.
16.5. You are responsible for paying all taxes associated with the services, except as provided in clauses 16.6 and 16.7.
16.6. If one party is obligated to indemnify or reimburse another party (Payee) for any cost, loss, or expense, the indemnity or reimbursement does not include any amount for which the Payee (or an entity grouped with the payee for GST purposes) is entitled to an input tax credit. However, the amount payable will be increased in accordance with clause 16.7 if it represents consideration for a taxable supply.
16.7. If GST is imposed on any taxable supply by a party in connection with this Agreement and the consideration payable is not expressly inclusive of GST, then, subject to the issuance of a valid tax invoice, the party liable to pay for the taxable supply must promptly pay an additional amount. This additional amount is calculated by multiplying the value of the GST-exclusive consideration (without deduction or set-off) by the prevailing GST rate.
- FORCE MAJEURE
17.1. In the event of circumstances beyond a party’s control, neither party shall be held responsible for any delay or inability to fulfill its obligations under this Agreement (excluding the obligation to make payment of Fees and other amounts as stipulated in this Agreement), provided that such delay is caused by a Force Majeure event.
17.2. Should a party’s delay or failure to meet its obligations due to Force Majeure persist for a period exceeding 60 days, either party has the right to promptly terminate the Agreement by giving written notice to the other party.
- ADDITIONAL PROVISIONS
18.1. Both parties commit to taking any necessary or desirable actions, as requested in writing by the other party, to fully implement all aspects of this Agreement.
18.2. Without the prior written consent of Jay Chaudhary, you are prohibited from assigning, transferring, subcontracting, or otherwise disposing of your rights or obligations under this Agreement, in whole or in part. Jay Chaudhary reserves the right to novate, transfer, or assign the entirety or any portion of this Agreement to any third party at any time, and your consent to such novation, transfer, or assignment is hereby granted.
18.3. In the event that any provision of this Agreement is deemed invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions will remain unaffected. The invalid, illegal, or unenforceable provision will be construed to the extent possible or severed from this Agreement.
18.4. The failure or delay by any party in exercising any right, power, or remedy under this Agreement does not constitute a waiver. Any waiver must be in writing and signed by the party granting the waiver to be effective.
18.5. In instances where Jay Chaudhary is required to provide written notice under this Agreement, such notice may be accomplished by:
(a) publishing the notice on the Jay Chaudhary Website;
(b) sending the notice via email to the last email address provided to Jay Chaudhary by you; or
(c) mailing the notice to the last postal or street address provided to Jay Chaudhary by you.
18.6. This Agreement is governed by and construed in accordance with the laws applicable in the State of New South Wales, Australia. The parties hereby irrevocably submit to the exclusive jurisdiction of the courts in that State and the Commonwealth of Australia, including courts of appeal, with respect to all matters arising from or related to this Agreement, its performance, and subject matter.
- DEFINITIONS
In this Agreement, capitalized terms, as employed herein, carry the definitions ascribed to them within this document, encompassing the particulars set forth in clause 19.
Within this contractual arrangement:
“Confidential Information” encompasses:
(a) all proprietary, non-public, or confidential information, regardless of its format or means of transmission, exchanged between the involved parties or their representatives (or in our context, supplied by Jay Chaudhary, his affiliated entities, and any entity owned by Jay Chaudhary) prior to, on, or after the effective date of this Agreement, relating to the business, technology, or other matters of the information provider; and
(b) in Jay Chaudhary’s case, any information revealed by a third party that Jay Chaudhary is obligated to treat as confidential,
excluding information:
(c) that is or becomes part of the public domain, except through a violation of this Agreement or an obligation of confidentiality owed to the information provider;
(d) which the recipient can demonstrate, through contemporaneous written documentation, was: (i) already within its knowledge at the time of disclosure by the provider (unless such knowledge resulted from the provider’s disclosure in breach of a confidentiality obligation); or (ii) independently developed by the recipient without reference to the Confidential Information of the provider; or
(e) which the recipient obtains from a source other than the provider or any of its representatives, where such source is entitled to disclose it on a non-confidential basis.
“Fee” denotes the charges and fees payable for the Services as stipulated in this Agreement.
